Terms of service agreement:

TRUEDON DIRECTORY (PTY) LTD : TERMS & CONDITIONS

Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms. These Terms apply to all visitors, users and others who access or use our Service. By accessing or using our Service you agree to be bound by these Terms. If you disagree with any part of the terms, then you may not access the Service.

A contract is a legally binding agreement created by an offer and acceptance between two or more parties who exchange consideration to create a legal obligation between them. All parties must agree about the offer made by one party and accepted by the other, something of value must be exchanged for something else of value, in this case, directory services provided by Truedon Directory for their online platform. It sets out rights and obligations of the contracting parties.” We are legally bound by the legal contract we entered”. In the event of breach, the aggrieved party will be seeking for the appropriate remedy / legal action to be instated.

TERMS OF SERVICE AGREEMENT:

Truedon Directory (Pty) Ltd (“us”, “we”, or “our”) operates the https://www.truedondirectory.co.za website and the mobile application (the “Service”).

Truedon Directory (Pty) Ltd is an independent South African web / online advertising service provider that offers digital marketing on Google Platform.

Platform is used for all businesses and entities throughout the world to effectively embrace digital marketing & expose their business at a larger scale.

Truedon Directory (Pty) Ltd, is a private company and independent advertising company and not affiliated to any other advertising agency. Truedon Directory (Pty) Ltd, as no relation / association to Telkom and or its subsidiaries.

When signing on with Truedon Directory (Pty) Ltd contract or completing the sign-up submission via the website or e-mail, the client agrees to the contractual contents and is bound by Truedon Directory (Pty) Ltd Terms and Conditions which is set out and accessible via the website to view.

Truedon Directory Representative are not adhered to email clients Terms and Conditions on email sender of quotation to the said attention employee or employer of the said company. Under Declaration on contract, it reads Terms and Conditions to be viewed on Truedon Directory Website, namely www.truedondirectory.co.za this is referenced clearly and solely for the member for the said organization.

Listings are listed on a 24-month period lease.

Changes, we reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 (change this) days’ notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

All renewals are processed according to their period listed but not limited to nearing expiration date.

Artwork to be supplied by client or otherwise advert will be done by Truedon Directory (Pty) Ltd,  IT department. Truedon Directory reserves the right to allocate the said company logo for their own respective directory listing and the right to use the client company logo and image to design advert / incorporate logo on Truedon Directory website. It is the client’s right to forward artwork to adhere to their company regulations and compliance. Failing which Truedon will design advert accordingly.

Representatives do not do cold calling and are not outbound, nor is requested to any outbound engagements.

Any employee of the said organization being listed, falls under authorized employee of their said organization, and stands / held liable on his/ her right accordingly. The Client, by signing and accepting Truedon Directory services, clearly stands liable for the contractual agreement entered.

Clients signing and approving Truedon Directory services stands by their acknowledgment of the  services being provided. This institutes their approval and will stand liable on behalf of their organization.

If no changes are done on documents sent out to clients and it is approved, without changes and listing are done by Truedon Directory, the representative or any other employee associated within Truedon Directory, will not and cannot be held liable if the client provided no amendments or changes to his/ her organization. It is on the onus of the clients to go through documents and every detail stated on documents.

It is the right of the client, to go through documents and pricing when documents are sent out.

Contracts sent to clients, will always state prices and broken down to inform clients of the monthly fee but not total amount, as this will be stated on invoices. Clients are therefore advised to acknowledge pricing and costing for the period listing / listed.

Logo and design can be issued by clients to Truedon Directory IT Department.

Contract/s is/are legally binding on date on signature of the client on contract/s received. This also includes the start of their 3-day cooling off period.

Truedon directory (Pty) Ltd, provides client with a 3-day cooling off period, not included weekends and start of signed date as 1st day and thereafter 2 working days.

3-day cooling period is within the clients right to change their mind or cancel service in full without being liable for cancellation fee. After 3 – day cooling off period, should the client cancel, it is the onus of client to settle the cancellation fee set out on the contents of the contract and stated on contract. Cancellation can only be approved by Truedon Directory (Pty) Ltd, Finance manager.

Invoices will be issued and payable on all signed contract via the website or e-mail. Any reduced rate or pricing will be consented only by an accounts manager or finance manager.

All changes and amendments to advert design will be changed as per client request on redesign.

All invoices are payable upon receipt and requires to be effected directly into Truedon Directory bank account via eft or cheque deposit or cash. Bank letter of Truedon Directory can be issued to client on request. If payment is done to wrong company and not that of Truedon Directory, Truedon, this will be fall on the clients liability. As only Truedon Directory Bank name is stated on respective business bank account.

Only signed agreements or sign-up submission via Truedon Directory website or email entered between Truedon Directory and the client cannot be cancelled by the client, if the client decides not to proceed with agreement after the contract period, the client needs to serve Truedon Directory with a written(Notice of Rescission),in writing via e-mail to : customercare@truedondirectory.co.za ,

Cancellations for future listings will only be effected after the listed period.

No cancellations will be accepted after signed agreement unless Truedon Directory (Pty) Ltd, accounts manager consents to the standard cancellation fee of 45%.

Failure to do so will constitute a breach of contract and all costs will be liable to the client.

Payments will be only done and accepted through bank account Truedon Directory (Pty) Ltd

Invoices will be issued upon signed contract or either a signed verification order number via the website or e-mail or immediately after receipt of signed contract.

Invoices will be issued to clients after signing up for the services by Truedon Directory. Truedon Directory will disperse invoices accordingly to client and their accounts department.

Truedon Directory reserves its right for clients to settle their invoices and account at their soonest and in the month invoice as been issued out to client.

The cooling off period is subject to 3 days, commencing from day of signing and approving services. Thereafter if a client requests cancellation of services, they will be subject to 45% cancellation fee, if agreed by Truedon Accounts Manager.

A standard cancellation fee of 45% will be allowed only if accepted by both parties. Clients will be subject to administrative costs as well and will stand liable to pay.

A late fee of up to 15 % of the outstanding invoice is payable on overdue invoices.

Failure to settle current invoices will lead to legal action against client and their organization. All legal costs will be subject to the client for settlement.

Legal fees will be allocated from our legal department.

Truedon Directory reserves the right to proceed with legal action against client in question on breach of contractual agreement.

Advertising, we may use third-party Service Providers to show advertisements to you to help support and maintain our Service.

The contract states under declaration, that the authorizing personnel is accepting the responsibility in signing on  behalf of their company and amount stipulated. The client is accepting and acknowledging the agreement and is aware and negligence cannot be used at a later stage.
